Welcome to Timeless Identity. By accessing our website, engaging our services, submitting an inquiry, or entering into any agreement with us, you agree to be bound by the following Terms & Conditions.

1. About Timeless Identity

Timeless Identity is a creative agency providing branding, design, strategy, consulting, content creation, and related creative services.

All services are subject to these Terms & Conditions.

2. Acceptance of Terms

By using our website or engaging our services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions in full. If you do not agree, you must not use our services.

3. Services & Scope of Work

All services are governed by written proposals, contracts, invoices, or email confirmations.

Any work requested outside the agreed-upon scope may require additional fees, revised timelines, and written approval before commencement.

4. Intellectual Property Rights & Ownership

Ownership of Work

All creative concepts, designs, drafts, strategies, processes, methods, presentations, source files, and materials created by Timeless Identity—including but not limited to branding assets, logos, visuals, copy, layouts, and digital files—remain the exclusive intellectual property of Timeless Identity until full payment has been received.

No ownership rights, licenses, or usage permissions are granted prior to full payment.

License to Client Upon Payment

Upon receipt of full and final payment, the client is granted a limited, non-exclusive, non-transferable, and non-sublicensable license to use the final, approved deliverables solely for their intended and agreed-upon purpose.

This license does not include:

    •    Ownership of source files unless explicitly stated in writing

    •    The right to resell, sublicense, or redistribute the work

    •    The right to modify, alter, or reuse the work outside its original scope

Any expanded usage requires prior written approval and may incur additional fees.

Prohibited Use

The client may not:

    •    Use unpaid, rejected, or preliminary concepts

    •    Claim authorship or ownership of Timeless Identity’s work

    •    Remove copyright notices, watermarks, or attribution

    •    Register trademarks, copyrights, or intellectual property based on unpaid or unlicensed work

Unauthorized use constitutes a breach of these Terms & Conditions.

Portfolio & Promotional Use

Timeless Identity retains the perpetual right to display completed or in-progress work for portfolios, websites, social media, marketing materials, and case studies unless otherwise agreed in writing.

Client-Provided Materials

The client represents that all materials supplied are owned or properly licensed. The client agrees to indemnify and hold harmless Timeless Identity from any claims arising from unauthorized or unlawful use of client-provided materials.

5. Client Responsibilities

Clients agree to provide accurate information, materials, and feedback in a timely manner. Delays caused by missing assets or feedback may impact project timelines and delivery dates.

6. Payments & Fees

All fees are outlined in proposals or invoices.

Deposits or retainer(s) are required unless otherwise stated and are non-refundable.

Timeless Identity reserves the right to pause work or withhold deliverables for late or unpaid balances.

7. Revisions & Approvals

All revision requests must be submitted in writing via email. Verbal requests, text messages, or informal communications will not be considered valid.

All revision requests are subject to approval by Timeless Identity and must fall within the originally agreed-upon scope of work. Timeless Identity reserves the right to:

    •    Approve or deny revision requests

    •    Determine whether a request constitutes a revision or a new scope of work

    •    Apply additional fees and timeline adjustments for out-of-scope revisions

Revision limits, if applicable, are defined in the proposal or service agreement.

Final client approval confirms acceptance of the work “as is” and completion of services.

8. Cancellations, Termination, Email Notice Requirement & No Refunds

Either party may terminate services only by providing written notice via email within thirty (30) days from the agreed-upon project start date, as defined in the proposal, contract, or invoice.

All payments made to Timeless Identity are strictly non-refundable, including but not limited to:

    •    Deposits or retainer(s)

    •    Partial payments

    •    Payments for completed or in-progress work

Upon termination:

    •    The client remains responsible for payment for all work performed up to the termination date

    •    Any outstanding balances become immediately due

    •    No refunds will be issued for any reason, including project cancellation, dissatisfaction, change of direction, or unused services

Timeless Identity reserves the right to terminate services immediately, without refund, for non-payment, breach of these Terms, or inappropriate, abusive, or unlawful conduct.

9. Confidentiality

Both parties agree to maintain the confidentiality of non-public information unless disclosure is required by law or agreed upon in writing.

10. Limitation of Liability & Disclaimer

To the fullest extent permitted by law, Timeless Identity shall not be held liable for any damages of any kind, including direct, indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services, website, or deliverables.

All services and deliverables are provided “as is” and “as available,” without warranties of any kind.

11. No Guarantees & Creative Disclaimer

Creative services are subjective. Timeless Identity makes no guarantees regarding specific outcomes, results, or performance.

Dissatisfaction with creative style or subjective outcomes does not constitute a breach of contract.

12. Third-Party Services

Timeless Identity may recommend or integrate third-party platforms or tools. We are not responsible for third-party outages, changes, failures, or performance.

13. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to conflict of law principles.

14. Changes to These Terms

Timeless Identity reserves the right to modify these Terms & Conditions at any time. Continued use of services constitutes acceptance of any updates.
